Mergers: Commission clears acquisition of joint control of group.ONE and dogado by Cinven and OTPP
The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Redhalo Jersey Topco Limited (‘group.ONE') of Jersey and dogado GmbH of Germany, by Cinven Capital Management (VII) General Partner Limited (‘Cinven') of Guernsey and the Ontario Teachers' Pension Plan Board of Canada (‘OTPP').
Group.ONE is a provider of web hosting services with a focus on domain registration and shared hosting in Belgium, the Netherlands and the Nordic countries. Dogado is an integrated service provider of web hosting services, infrastructure and business applications as well as website and platform marketing services with a focus on Austria, Germany and Switzerland. Cinven is a private equity firm providing investment management and advisory services to a number of investment funds. OTPP administers pension benefits and the investment of pension plan assets on behalf of teachers in the province of Ontario, Canada.
The Commission concluded that the proposed acquisition would raise no competition concerns, given the very limited horizontal overlaps and the absence of vertical relationships between the activities of the companies. The transaction was examined under the simplified merger review procedure.
